Terms of Service
Last updated: September 23, 2026
Effective date: September 23, 2026
Welcome to Sellaris!
These Terms of Service ("Terms") are an agreement between you and BigE Sales Coach LLC, doing business as Sellaris ("Sellaris," "we," "us," or "our"), and govern your use of our platform. By creating an account or using our Service, you agree to these Terms. We've tried to keep things clear and straightforward—if you have any questions, feel free to reach out.
1. Acceptance of Terms
By creating an account, accessing, or using Sellaris, operated by BigE Sales Coach LLC d/b/a Sellaris ("the Service," "Platform"), you acknowledge and agree that:
You have read, understood, and accept these Terms of Service in their entirety
You have read and accept our Privacy Policy
You are at least 13 years of age (or 16 in certain jurisdictions)
If you are under 18, you have obtained parental or guardian consent
You have the legal capacity to enter into this binding agreement
If accepting on behalf of an organization, you have authority to bind that organization
Your use of the Service will comply with all applicable laws and regulations
2. Description of Service
Sellaris is an AI-powered sales training and education technology platform designed to help users practice and improve their sales skills through:
Simulated role-play scenarios with AI-powered virtual buyers
Objection handling drills and practice modules
Performance feedback and scoring aligned with sales competition standards
Educational resources and coaching tools
Competition management features for academic institutions
Recruiter and job placement services
Integration with educational institutions and learning management systems
The Service is provided for educational, training, and professional development purposes. Results and feedback are intended as learning tools and do not guarantee employment outcomes, competition results, or professional success.
2.1 Third-Party Integrations
The Service offers optional integrations with third-party platforms, including customer relationship management systems, learning management systems, and call-recording or conversation-intelligence tools. If you enable an integration:
You authorize us to access, receive, and process data from that platform as needed to provide the integration's functionality
You confirm you have the authority and any necessary consents to connect that account and share its data with us
You remain responsible for your use of the third-party platform and for complying with its own terms and policies
Integration functionality depends on the third party's availability, APIs, and policies, which may change or be discontinued without notice
We are not responsible for the acts, omissions, data practices, or service interruptions of third-party platforms
2.2 Service Availability
We aim to keep the Service available but do not provide an uptime guarantee or service level agreement unless separately agreed in a written contract. The Service may be unavailable or degraded due to scheduled maintenance, emergency maintenance, third-party outages, or other events, and we may modify, suspend, or discontinue features at any time.
2.3 Recording and Consent
The Service records practice sessions in order to provide transcripts, scoring, and feedback. By starting a session, you consent to the capture, storage, and processing of your audio, video, and screen-shared content for those purposes and, where applicable, for review by your instructor, manager, or organization administrator.
Where a session involves more than one participant (for example team selling, competitions, or live coaching), each participant must consent to being recorded before the session begins
Recording and wiretap laws vary by state and country, and some require the consent of every party to a conversation. You are responsible for obtaining any consent required in your jurisdiction
If you upload or connect recordings of real conversations — including calls captured through call-recording or conversation-intelligence tools such as Gong, Fireflies, or a CRM — you represent that every participant consented to the recording and to its disclosure to us for analysis
You must not upload recordings containing confidential customer, patient, student, or employee information that you are not authorized to share
You may request deletion of your own recordings as described in our Privacy Policy, subject to institutional retention requirements in Section 4.5
3. User Accounts and Registration
3.1 Account Creation
You must provide accurate, current, and complete information during registration
You must update your information to maintain its accuracy
You may not use false, misleading, or fraudulent information
You may not impersonate any person or entity
One natural person or legal entity may maintain only one account unless expressly authorized
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials
You must use strong, unique passwords and enable additional security features when available
You must immediately notify us of any unauthorized access or security breach
You are responsible for all activities conducted under your account
We reserve the right to suspend accounts suspected of security compromise
3.3 Account Types
Different account types (Student, Professional, Professor, Manager, Recruiter, and Administrator) have different privileges, responsibilities, and access levels. You must accurately represent your status and use only the account type appropriate to your actual role.
4. Student Records and FERPA
In plain terms
If your school gives you access to Sellaris, your school owns your practice records and we handle them on its behalf. We do not sell them, and we do not use them for anything other than delivering the Service to your school. This section explains how that works under the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g and 34 CFR Part 99.
4.1 Our Role
When an educational institution ("Institution") provides access to the Service, we act as a "school official" with a legitimate educational interest under 34 CFR § 99.31(a)(1). That means we work under the Institution's direction, use student information only to provide the Service to that Institution, keep it confidential, do not re-disclose it except as FERPA permits, and never sell it or use it for advertising.
4.2 What Counts as a Student Record
In an educational setting, the records we hold about you may include your practice session recordings and transcripts, your scores and feedback, your assignment submissions, your competition results, and your progress data.
4.3 Your Rights as a Student
You keep every right FERPA gives you: to review your records, to ask for corrections, to control disclosures that require your consent, and to complain to the U.S. Department of Education. Because your school controls these records, start with your school — contact us at support@sellaris.ai and we will work with them on your request.
4.4 If You Are an Institution
By providing access to your students, you confirm that you have the authority to share student information with us, that you list Sellaris as a school official in your annual FERPA notice, and that you give your students the FERPA notices you are required to give them.
4.5 How Long We Keep Records
We keep student records only as long as the Institution needs them for its educational purpose. When our agreement with an Institution ends, or whenever the Institution asks, we return or delete those records as the Institution directs.
5. COPPA Compliance (Children's Privacy)
In accordance with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501-6506:
Our Service is not directed to children under 13 years of age
We do not knowingly collect personal information from children under 13
If we learn that we have collected personal information from a child under 13, we will promptly delete such information
If you are a parent or guardian and believe your child has provided us with personal information, please contact us immediately
For users ages 13-17, we encourage parental involvement and require parental consent where applicable
6. Acceptable Use Policy
6.1 Permitted Uses
You may use the Service only for lawful purposes in accordance with these Terms. Permitted uses include:
Personal education and professional development
Academic coursework and training as directed by educational institutions

6.2 Prohibited Conduct
You agree NOT to:
Use the Service for any unlawful purpose or in violation of any applicable law or regulation

Attempt to gain unauthorized access to any part of the Service, other accounts, or systems

Use automated systems, bots, or scrapers without express written permission

Engage in academic dishonesty or violate institutional honor codes
Upload, connect, or share any recording of a real conversation without the consent of every participant required by applicable law
Upload confidential customer, patient, student, or employee information that you are not authorized to disclose
6.3 Content Standards
User-generated content must not contain:
Illegal, harmful, threatening, abusive, or harassing material
Defamatory, libelous, or invasive content

7. Intellectual Property Rights
7.1 Our Intellectual Property
The Service and its entire contents, features, and functionality are owned by Sellaris, our licensors, or other providers and are protected by United States and international intellectual property laws including:
Copyright and related rights
Trademark and service mark rights
Trade secret and proprietary information protection
Patent rights (as applicable)
7.2 Limited License to Users
Subject to these Terms and any applicable subscription or license agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own educational, training, and professional development purposes, including internal business and commercial sales-training use by you and, where covered by an organizational subscription, by your organization's authorized users. This license does not permit you to resell, sublicense, or provide the Service to third parties, or to use the Service to build a competing product.
7.3 Your Content
You retain ownership of content you create and submit. However, by submitting content, you grant us a worldwide, royalty-free, non-exclusive license to:
Use, reproduce, and process your content to provide and improve the Service
Use anonymized and aggregated data for research, analytics, and service improvement
Display your content as necessary to provide the Service features you use
7.4 Third-Party Materials
Sales competition materials, rubrics, case documents, institutional names, and logos referenced in the Service remain the property of their respective owners. Sellaris is not affiliated with, endorsed by, or sponsored by any university, sales competition, or competition-governing organization unless explicitly stated.
7.5 Copyright Complaints (DMCA)
We respect intellectual property rights and respond to valid notices under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a written notice to our designated copyright agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material you claim is infringing and enough information to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Designated Copyright Agent: Christian Carroll
Email: support@sellaris.ai
We will remove or disable access to material that is the subject of a valid notice and may terminate accounts of repeat infringers. If you believe your content was removed in error, you may submit a counter-notice to the same contact.
8. Subscription, Payment, and Refunds
8.1 Subscription Plans
Some features require a paid subscription
Subscription plans, pricing, and features are described on our pricing page
Prices are subject to change with 30 days' advance notice
All prices are in U.S. dollars unless otherwise specified
8.2 Billing and Payment
Payment is due at the start of each billing period
Subscriptions automatically renew unless cancelled before the renewal date
You authorize us to charge your payment method for all fees incurred
Failed payments may result in service suspension or termination
Payments are processed by our third-party payment processor, Stripe. Your use of Stripe is subject to Stripe's own terms and privacy policy, and we do not store full payment card numbers
You are responsible for any applicable sales, use, VAT, or similar taxes, which may be added to the listed price
8.3 Refund Policy
All subscription fees are non-refundable, including fees for partial billing periods and unused time
Renewals and all subsequent billing periods are non-refundable
We do not offer a money-back guarantee or trial refund
The only exceptions are where a refund is required by applicable law, or where a signed written agreement with an organization provides otherwise
Where a refund is required by law or by such an agreement, it is returned to the original payment method, typically within 5-10 business days
8.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then. No refunds are provided for partial billing periods.
8.5 Organizational Subscriptions
Where a university, school, employer, or other organization purchases access for its users ("Organization"):
The Organization is the contracting party for that subscription and is responsible for fees, seat assignment, and seat removal
The Organization is responsible for its authorized users' compliance with these Terms and for the accounts, content, and data they create under its subscription
Organization administrators may access, manage, export, and delete session data, scores, and feedback belonging to users under their subscription, and may lose or gain access as seats change
If an Organization's subscription ends or a user's seat is removed, that user's access to Organization content and scenarios ends
If a signed order form, enrollment agreement, or master services agreement between us and the Organization conflicts with these Terms, that signed agreement controls for that Organization and its users
Terms contained in a purchase order, vendor portal, or similar document do not apply unless we accept them in a signed writing
9. AI-Generated Content and Limitations
9.1 Nature of AI Content
The Service uses artificial intelligence and machine learning technologies to generate:
Virtual buyer responses and scenarios
Performance feedback and scoring
Coaching recommendations
Content analysis and suggestions
9.2 Disclaimers Regarding AI
You acknowledge and agree that:
AI-generated content may contain errors, inaccuracies, or inconsistencies
AI feedback is for educational purposes and should not be the sole basis for critical decisions
Performance scores are training tools and may not reflect actual competition results
AI responses do not constitute professional advice (legal, medical, financial, etc.)
AI systems may produce different results under similar conditions
We continuously improve our AI systems, which may change behavior over time
9.3 Human Oversight
We maintain human oversight of our AI systems and encourage users to report any concerning, inaccurate, or inappropriate AI-generated content. Critical decisions should involve human judgment and not rely solely on AI output.
9.4 Beta and Experimental Features
We may make features available on a beta, preview, or experimental basis. These features are provided as-is for evaluation, may be less reliable than generally available features, and may be changed, limited, or discontinued at any time without notice. We disclaim all warranties and liability relating to beta and experimental features to the fullest extent permitted by law.

11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS WILL BE CORRECTED.
WE DO NOT GUARANTEE ANY SPECIFIC OUTCOMES INCLUDING BUT NOT LIMITED TO EMPLOYMENT, COMPETITION RESULTS, SKILL IMPROVEMENT, OR PROFESSIONAL SUCCESS. THE SERVICE IS A TRAINING TOOL AND RESULTS MAY VARY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SELLARIS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES ARISING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE
ANY OTHER MATTER RELATING TO THE SERVICE
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).
THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
13. Indemnification
You agree to defend, indemnify, and hold harmless Sellaris, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Your violation of these Terms
Your use of the Service
Your violation of any rights of any third party
Your violation of any applicable law or regulation
Content you submit or transmit through the Service
Your negligence or willful misconduct
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
14.2 Termination by Us
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation:
Breach of these Terms
Fraudulent, abusive, or illegal activity
Conduct harmful to other users, us, or third parties
Extended periods of inactivity
Request by law enforcement or government agencies
Discontinuation or modification of the Service
14.3 Effect of Termination
Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account and data subject to applicable data retention requirements; (c) provisions that by their nature should survive termination shall survive. Without limiting that, Sections 7 (Intellectual Property Rights), 8 (Subscription, Payment, and Refunds) as to amounts already owed, 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), 16 (Governing Law and Jurisdiction), and 18 (General Provisions) survive termination.
14.4 Data Export Window
Except where termination results from fraud, abuse, or a legal requirement to delete data sooner, we will make your account data available for export for thirty (30) days after termination before permanent deletion. You may request an export by contacting us at support@sellaris.ai. Education records held on behalf of an educational institution are returned or destroyed as directed by that institution in accordance with Section 4.5.
15. Dispute Resolution
15.1 Informal Resolution
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute through good-faith negotiations for at least 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, or its Consumer Arbitration Rules where those rules apply. The arbitration shall be conducted in English before a single arbitrator and shall take place in Wilmington, Delaware, unless the parties agree in writing to a different location or to a documents-only or remote proceeding. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
Each party pays its own attorneys' fees and costs unless the arbitrator awards otherwise or applicable law requires otherwise. Where the AAA Consumer Arbitration Rules apply, we will pay the filing, administration, and arbitrator fees that those rules allocate to us, and we will pay your share of the initial filing fee if you demonstrate that paying it would be a hardship and your claim is not frivolous.
15.3 Right to Opt Out of Arbitration
You may reject this arbitration agreement by sending written notice to support@sellaris.ai within thirty (30) days of first accepting these Terms, including your name and the email address on your account. If you opt out, Sections 15.2 and 15.4 do not apply to you, and disputes will be resolved in the courts identified in Section 16. Opting out has no other effect on your rights or your use of the Service.
15.4 Class Action Waiver
YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
15.5 Exceptions
Notwithstanding the above: (a) either party may bring an individual claim in a small-claims court with jurisdiction over the parties, so long as the claim remains in that court and is not brought on a class or representative basis; and (b) either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
15.6 Notices
Legal notices to you will be sent to the email address on your account or displayed in the Service, and are deemed received on the day they are sent. Legal notices to us must be sent to support@sellaris.ai and are deemed received on the next business day after transmission. You are responsible for keeping the email address on your account current.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, and you waive any objection based on inconvenient forum.
17. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes:
We will update the "Last updated" date at the top of this page
For material changes, we will provide notice via email or in-app notification at least 30 days before the changes take effect
Your continued use of the Service after changes become effective constitutes acceptance
Where required by law, or for material changes that affect a paid subscription, we will obtain your affirmative agreement before the changes apply to you; if you do not agree, the changes take effect at your next renewal and you may cancel before then
If you do not agree to the modified Terms, you must stop using the Service
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sellaris regarding the Service.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
18.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly provided.
18.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, epidemics, government actions, or internet failures.
18.7 Export Controls and Sanctions
The Service is provided from the United States and is subject to U.S. export control and economic sanctions laws. You represent that you are not located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted-party list. You agree not to access or use the Service in violation of any applicable export control or sanctions law.
18.8 Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate them without obligation, attribution, or compensation. Feedback is not treated as your confidential information.
